3. Nature of Business — Mutual Fund Distribution
Investor Sahayogi Partnership Firm acts as a distributor of mutual fund products. This means:
- We facilitate investments in mutual fund schemes on behalf of investors
- We are not a fund house — we do not manage any mutual fund scheme
- We are not a SEBI-registered Investment Adviser (RIA) — we do not provide fee-based independent investment advice
- Our compensation is in the form of commission paid by the Asset Management Companies (AMCs) whose schemes we distribute — not fees paid by investors for advisory services
This distributor model is distinct from a SEBI-registered Investment Adviser (RIA) model, where the advisor charges a fee from the investor and is not permitted to receive commissions from AMCs.
4. Commission and Conflict of Interest Disclosure
4.1 Commission Structure
As a mutual fund distributor, Investor Sahayogi Partnership Firm receives commission from Asset Management Companies (AMCs) for distributing their mutual fund schemes. This commission is included in the expense ratio of the mutual fund scheme and is borne by the scheme — not charged separately to the investor.
Commissions vary by:
- The AMC and the specific scheme
- The scheme category (equity, debt, hybrid, etc.)
- Whether the investment is through regular or direct plans
Investors who invest through direct plans of mutual funds do not pay distributor commissions. Direct plans have a lower expense ratio than regular plans. Investor Sahayogi distributes regular plans, through which we receive commissions from AMCs.
4.2 Scheme-Wise Commission Disclosure
In accordance with AMFI guidelines, commission earned on transactions executed through Investor Sahayogi is disclosed to investors at the time of transaction, in the format prescribed by AMFI / SEBI. Investors may request a full disclosure of commissions received on their portfolio at any time by writing to info@sahayogi.in.
4.3 Conflict of Interest
Our commission-based compensation structure means we have a potential conflict of interest in recommending schemes — we may receive different levels of commission from different AMCs and different schemes. We disclose this conflict transparently.
We manage this conflict by:
- Recommending schemes based on investor suitability and stated goals — not commission rates
- Disclosing commissions as required by AMFI guidelines
- Providing investors with information about direct plans where relevant
- Not accepting incentives, gifts, or non-monetary benefits from AMCs that could influence our recommendations, in accordance with AMFI’s code of conduct
5. Investor Risk Disclosures
5.1 Standard Risk Warning
Mutual fund investments are subject to market risks. Please read all scheme-related documents carefully before investing.
This warning applies to all mutual fund products distributed by Investor Sahayogi Partnership Firm, without exception.
5.2 Product-Specific Risks
Different categories of mutual fund schemes carry different risk profiles:
Equity Mutual Funds: Subject to equity market volatility. NAV can fall significantly in short periods. Suitable for investors with a long investment horizon (typically 5 years or more) and tolerance for capital loss.
Debt Mutual Funds: Subject to interest rate risk and credit risk. Rising interest rates may cause NAV to fall. Credit events in the underlying portfolio can cause significant NAV decline. Not risk-free.
Hybrid Funds: Combination of equity and debt risks depending on the allocation. Risk level varies by scheme type (conservative hybrid to aggressive hybrid).
Liquid and Overnight Funds: Lower risk than equity funds but not risk-free. Subject to credit risk on the underlying instruments. Not equivalent to fixed deposits.
Index Funds and ETFs: Track an index but are subject to the full market risk of the index. Subject to tracking error.
International Funds: Subject to equity market risk plus currency risk.
5.3 Past Performance
Past performance of any mutual fund scheme is not indicative of future returns. Returns shown in any Investor Sahayogi communication are historical and do not guarantee future performance.
5.4 Not a Guarantee
Neither Investor Sahayogi Partnership Firm nor any AMC whose schemes we distribute guarantees returns, capital protection, or the achievement of any investment objective, except for schemes where a specific guarantee is part of the scheme structure (as stated in the scheme information document).
6. Investor Suitability
Investor Sahayogi Partnership Firm assesses investor suitability before recommending mutual fund investments. This assessment considers:
- The investor’s stated financial goals and investment horizon
- Risk tolerance (assessed through a Risk Profile Questionnaire)
- Current financial situation and existing investments
- Liquidity needs
Our recommendations are based on this suitability assessment. Investors are encouraged to disclose complete and accurate information to enable appropriate recommendations.

7. Know Your Customer (KYC) Compliance
All investments through Investor Sahayogi Partnership Firm require the investor to be KYC-compliant as per SEBI and KYC Registration Agency (KRA) requirements. KYC verification is mandatory for all mutual fund investors in India.
Investors who are not KYC-compliant will be guided through the KYC process before investments can be processed. KYC documents required include PAN card, address proof, and photograph, as specified by SEBI/KRA.

Before investing in any mutual fund scheme, investors should read:
- Scheme Information Document (SID): Detailed information about the scheme, including investment objective, asset allocation, risks, and fees
- Key Information Memorandum (KIM): Summary of key scheme information
- Statement of Additional Information (SAI): Information about the AMC and fund

Investor Sahayogi Partnership Firm is bound by AMFI's Code of Conduct for mutual fund distributors, which requires us to:
- Act with integrity and in the best interest of investors
- Maintain the required level of knowledge and competence
- Disclose all material information to investors, including conflicts of interest
- Not make exaggerated claims about mutual fund performance or returns
- Not recommend unsuitable products
- Maintain investor confidentiality
- Comply with all SEBI and AMFI regulations
